Scope of Services

The Services provided by Jollof Apps include, but are not limited to, the design, development, and deployment of software applications. The specific scope of services to be provided will be defined in a separate project agreement or proposal between Jollof Apps and the Client.

Payment Terms

The Client agrees to pay Jollof Apps the fees as specified in the project agreement or proposal, within the agreed-upon timeframe. Jollof Apps reserves the right to suspend services if payments are not received in a timely manner.

Intellectual Property Rights

The Client acknowledges that any software developed by Jollof Apps is the exclusive property of Jollof Apps and its licensors. The Client may only use the software in accordance with the terms and conditions of the license agreement.

Confidentiality

Jollof Apps and the Client agree to maintain the confidentiality of all confidential information (“Confidential Information”) disclosed by one party to the other. The receiving party will not disclose Confidential Information to any third party without the prior written consent of the disclosing party.

Warranty and Disclaimer

Jollof Apps warrants that the Services will be performed in a professional and workmanlike manner. THE WARRANTIES SET FORTH IN THIS AGREEMENT ARE THE ONLY WARRANTIES MADE BY JOLLOF APPS. JOLLOF APPS DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Limitation of Liability

IN NO EVENT WILL JOLLOF APPS BE LIABLE TO THE CLIENT OR ANY THIRD PARTY FOR ANY DAMAGES, INCLUDING WITHOUT LIMITATION ANY LOST PROFITS, LOST SAVINGS, OR OTHER INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE SERVICES PROVIDED BY JOLLOF APPS, OR FOR ANY OTHER CLAIM BY THE CLIENT.

Termination

Either party may terminate this agreement at any time upon written notice to the other party. Upon termination, the Client agrees to immediately stop using the software and to destroy all copies in its possession or control.

Governing Law

This agreement will be governed by and construed in accordance with the laws of [insert jurisdiction].

Entire Agreement

This agreement constitutes the entire agreement between Jollof Apps and the Client, and supersedes all prior negotiations, understandings, and agreements between the parties. No amendment or modification of this agreement will be binding unless in writing and signed by both parties.
